Welcome to App-ening. These Terms and Conditions ("Terms") govern your use of our WhatsApp Business Platform services ("Service") operated by App-ening ("we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Definitions
- "Account" means a unique account created for you to access our Service
- "Service" means the App-ening WhatsApp Business Platform, including all features, tools, and APIs
- "Subscription" means the paid plan you subscribe to for accessing premium features
- "Content" means any information, data, text, or media you upload or transmit through our Service
- "User" means any individual or entity that accesses or uses our Service
2. Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent that you meet these requirements.
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
2.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.
3. Service Description
App-ening provides a WhatsApp Business Platform that enables businesses to:
- Send and receive WhatsApp messages via the official WhatsApp Business API
- Manage customer conversations through a team inbox
- Create automated messaging journeys and workflows
- Track analytics and ROAS for marketing campaigns
- Manage contacts, templates, and broadcasts
- Integrate with third-party services via APIs and webhooks
4. Subscription and Payments
4.1 Plans and Pricing
We offer various subscription plans with different features and pricing. Current pricing is available on our website and may be updated from time to time.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- Payment is due at the start of each billing cycle
- All fees are non-refundable except as stated in our Refund Policy
4.3 WhatsApp Conversation Charges
In addition to subscription fees, WhatsApp charges per-conversation fees as set by Meta. These charges are passed through to you and are separate from App-ening subscription fees.
4.4 Price Changes
We may modify our pricing with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of new pricing.
5. Acceptable Use Policy
5.1 Permitted Use
You may use our Service only for lawful purposes and in accordance with these Terms, WhatsApp's Business Policy, and applicable laws.
5.2 Prohibited Activities
You agree NOT to:
- Send spam, unsolicited messages, or bulk promotional content without consent
- Violate WhatsApp's Terms of Service or Business Policy
- Transmit malware, viruses, or harmful code
- Impersonate others or misrepresent your identity or business affiliation
- Harvest user data without authorization
- Attempt to gain unauthorized access to our systems
- Use the Service for illegal activities including fraud, scams, or harassment
- Violate any applicable laws or regulations
- Resell or redistribute the Service without authorization
- Interfere with or disrupt the Service or servers
6. WhatsApp Business API Compliance
As a WhatsApp Business Solution Provider, we require all users to comply with Meta's policies. By using our Service, you agree to the following:
6.1 WhatsApp Business Policy Agreement
You must read, understand, and comply with:
6.2 User Consent Obligations
You are solely responsible for obtaining proper consent before messaging users. You must:
- Obtain explicit opt-in consent from users before sending WhatsApp messages
- Clearly inform users about the types of messages they will receive
- Provide easy opt-out mechanisms and honor all unsubscribe requests immediately
- Maintain records of consent for compliance verification
- Comply with all applicable local laws regarding user consent and data protection
6.3 Message Template Requirements
For business-initiated conversations, you must:
- Only use Meta-approved message templates
- Submit templates for approval through the App-ening platform
- Use templates only for their designated category and purpose
- Not include misleading, deceptive, or prohibited content in templates
- Accept that Meta may reject or revoke template approval at any time
6.4 WhatsApp Business Profile Requirements
You must maintain an accurate WhatsApp Business profile that includes:
- Your actual business name (no impersonation)
- Valid customer support contact information
- At least one of: email address, website URL, or telephone number
- Accurate business description and category
You must keep this information current and update it promptly if changes occur.
6.5 Prohibited Content and Activities
In addition to general prohibited activities, you must NOT use WhatsApp messaging to:
- Request sensitive information (payment card numbers, bank account details, government ID numbers, passwords)
- Send content that violates intellectual property rights
- Promote illegal products or services
- Send adult content, gambling promotions, or regulated substances
- Engage in political campaigning or election-related messaging (where prohibited)
- Share information from one customer's conversation with other customers
- Use WhatsApp data for purposes beyond messaging support to that specific user
6.6 Commerce Policy Compliance
If you use our Service to sell goods or services via WhatsApp, you must:
- Comply with Meta's Commerce Policy and all applicable commerce terms
- Provide clear sales terms, pricing, and refund policies to customers
- Not sell prohibited items as defined by Meta's Commerce Policy
- Be solely responsible for your transactions and customer disputes
6.7 Meta's Right to Suspend Access
You acknowledge and agree that:
- Meta may independently review your use of the WhatsApp Business API
- Meta may suspend, limit, or terminate your WhatsApp Business API access at any time for policy violations
- App-ening has no control over Meta's enforcement decisions
- Suspension by Meta does not entitle you to refunds from App-ening
- You are responsible for any consequences arising from your policy violations
6.8 Quality Rating and Messaging Limits
WhatsApp assigns quality ratings based on user feedback. You understand that:
- Poor quality ratings may result in reduced messaging limits
- Repeated low ratings may lead to account restrictions or termination
- You are responsible for maintaining good messaging practices to preserve your quality rating
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by App-ening and is protected by copyright, trademark, and other intellectual property laws.
7.2 Your Content
You retain ownership of your Content. By uploading Content, you grant us a license to use, store, and process it as necessary to provide the Service.
7.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by us without any obligation to you.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
9. Third-Party Services
Our Service integrates with third-party services including:
- WhatsApp Business API (Meta)
- Payment processors (Razorpay)
- Analytics providers
Your use of these services is subject to their respective terms and privacy policies.
10. Service Availability
10.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice when possible.
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APP-ENING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless App-ening and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of Meta's WhatsApp Business Policy or any third-party rights
- Your Content or messaging activities
- Any claims by recipients of your WhatsApp messages
13. Termination
13.1 By You
You may terminate your account at any time through your account settings or by contacting us.
13.2 By Us
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms
- Violation of WhatsApp's Business Policy or Meta's policies
- Suspension of your WhatsApp Business API access by Meta
- Suspected fraudulent or illegal activity
- Non-payment
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may retain your data for 30 days, after which it may be deleted.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
14.2 Arbitration
Any disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Kancheepuram, India.
15. General Provisions
15.1 Entire Agreement
These Terms, along with our Privacy Policy, Refund Policy, and applicable Meta/WhatsApp policies, constitute the entire agreement between you and App-ening.
15.2 Severability
If any provision is found unenforceable, the remaining provisions shall continue in effect.
15.3 Waiver
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
